*UPDATE*Badminton Ireland EGM Notice


Dear Members,

Following a meeting of the Board the following amendments have been made to the proposed Memorandum and Articles of Association: 

1.    Article 50

In order to ensure that Branches have flexibility to meet their own requirements, the proposed Article 50 (i) is amended as follows:

Originally proposed:

“50 (i)      Each Branch shall elect a Branch Council.  Such Branch Council shall be elected for a two (2) year term by the Members in the provincial area relevant to such Branch at the Branch Annual General Meeting, and the number of members of such Branch Council shall be not less than eight (8) and not more than twenty-four (24).”

 

Suggested amended version:

“50 (i)      Each Branch shall elect a Branch Council.  Such Branch Council shall be elected for a term of either 2 or 3 years by the Members in the provincial area relevant to such Branch at the Branch Annual General Meeting, and the number of members of such Branch Council shall be not less than eight (8) and not more than twenty-four (24).”

 

 

2.    Article 71

It is felt by the Board that the proposed 4 year bar on resuming a position on the Board, in the case of a Director who has completed two consecutive 3-year terms, as set out in article 71 is too lengthy and the proposed change is not that this bar is set to 3 years.  It was also felt that the language in the proposed Article 71 was ambiguous; the proposed Article 71 is amended as follows:

 

 

Originally Proposed version:

“71.  All Board members may only serve a maximum of two consecutive three (3) year terms in any single officer position.  Where any Board member has served for two consecutive terms in any combination of different officer positions, he/she may not serve as a Board member again until at least 4 years have elapsed since he/she last served.”

 

Suggested amended version:

“71.  All Board members may only serve a maximum of six consecutive years on the Board – regardless of position(s) held on the Board during that time. A Board member who has served for six consecutive years shall not be eligible for reappointment as a member of the Board until at least 3 years have elapsed since he/she last served.”

Please note that only fully registered clubs with Badminton Ireland are eligible to vote – details, as per

the M&A’s, are required to be up to date on the membership system by the 20th November, 2016.

For clubs and others entitled to vote, I also enclose a form of proxy for use if the 

Chairman/President/Treasurer or Secretary from your club is unable to attend the meeting and they wish to have their vote recorded by another member in the club or another individual attending the meeting.  If you wish to exercise the proxy, it must be returned to this office by 20th November, 2016. 

Please ensure that any proxy bearer is advised on the manner in which you wish your vote to be cast for all elections/motions.
